The Circular sets out the reasons for the proposed move andpursuant to the Listing Rules of the UK Listing Authority, gives notice of anextraordinary general meeting to be held following the conclusion of the annualgeneral meeting which is to be held at 10:30 a.m. on 1 August 2007, at the BryceInstitute, Burneside, Kendal, Cumbria, to approve a special resolution to cancelthe listing of the Company's shares on the Official List and trading of theCompany's shares on the London Stock Exchange's market for listed securities("Delisting") and to apply to the London Stock Exchange for admission to tradingon AIM ("Admission"). If the resolution is passed, the Directors will then immediately apply forDelisting, which is expected to be effective at 8.00 a.m. on 31 August 2007.Application will then also be made to the London Stock Exchange for Admission.Trading on AIM is expected to commence at 8.00 a.m. on 31 August 2007. Posting of the Annual Report for 2007 The annual report for the year ended 31 March 2007 (Annual Report"), includingthe notice of the annual general meeting for 2007 is being posted toshareholders today.
