Approval of Director's Appointment Qualification
APPROVAL OF DIRECTOR'S APPOINTMENT QUALIFICATION
References are made to the notice of the EGM (the "Notice") of China Pacific Insurance (Group) Co., Ltd. (the "Company" or "CPIC") dated 9 November 2023 and the announcement dated 27 November 2023 on poll results for the EGM of the Company. Capitalised terms used herein shall have the same meanings as those defined in the Notice unless otherwise specified. The Company elected Mr. CHIN Hung I David as an Independent Non-executive Director of the Company at the EGM held on 27 November 2023, with a term of office until the expiry of the 9th Board of Directors of the Company, and his appointment qualification is subject to the approval of the National Administration of Financial Regulation (the "NAFR").
The Company is pleased to announce that the Company has recently received the "Approval of Appointment Qualification of CHIN Hung I David of China Pacific Insurance (Group) Co., Ltd." (Jin Fu [2024] No. 67) issued by the NAFR. The NAFR has approved the appointment qualification of Mr. CHIN Hung I David as an Independent Director of the Company. The term of office of Mr. CHIN Hung I David as an Independent Director of the Company became effective on 8 February 2024.

RETIREMENT OF DIRECTOR
Reference is made to the announcement of the Company dated 27 October 2023 in relation to the resignation of Mr. CHEN Jizhong as an Independent Non-executive Director of the Company. The retirement of Mr. CHEN Jizhong from his position as Independent Non-executive Director, chairman of the Risk Management and Related Party Transaction Control Committee and member of the Nomination and Remuneration Committee under the Board of the Company took effect from 8 February 2024. Mr. CHEN Jizhong has confirmed that he has no disagreement with the Board of the Company and that there is no matter in respect of his retirement that needs to be brought to the attention of the shareholders and creditors of the Company.
