Chorion PLC02 March 2006 CHORION PLC - POSTING OF SCHEME DOCUMENT RNS Number: Chorion PLC 2 March 2006 Chorion PLC ("Chorion") Posting of the Scheme Document Chorion PLC ("Chorion" or the "Company") (LSE COR.L) Chorion announces that, in relation to the proposed scheme of arrangement undersection 425 of the Companies Act 1985 between the Company, its shareholders andPlanet Acquisitions Holdings Limited (the "Scheme") to effect the recommendedacquisition for cash by Planet Acquisitions Limited of the entire issued and tobe issued share capital of Chorion for 425 pence per share (the "Acquisition")as announced on 23 February 2006 a court meeting (the "Court Meeting") and anextraordinary general meeting of the Company (the "Chorion EGM") will take placeon 24 March 2006. The scheme document (the "Scheme Document"), which sets out the full terms andconditions of the Scheme, the expected timetable and the action to be taken byshareholders, has been posted to shareholders on 1 March 2006. As described in the Scheme Document, the Scheme will require the approval ofshareholders at the Court Meeting, the passing of a special resolution byshareholders at the Chorion EGM and the subsequent sanction of the High Court ofJustice (the "Court").
