Compagnie de Saint-Gobain's Exchange and Cancellation of Notes
Compagnie de Saint-Gobain (the "Company") announces today that certain of its existing notes purchased by BNP Paribas are being transferred today by BNP Paribas to the Company in exchange for, among other things, certain new notes (the "Exchange").
The relevant notes transferred from BNP Paribas to the Company are:
(a) EUR 314,145,000 of its 8.25 per cent. Notes due 28 July 2014 (ISIN XS0409153110) (the "2014 Notes");
(b) EUR 174,715,000 of its 6.00 per cent. Notes due 20 May 2013 (ISIN XS0428417900) (the "May 2013 Notes");
(c) EUR 144,844,000 of its 7.25 per cent. Notes due 16 September 2013 (ISIN XS0387435117) (the "September 2013 Notes"); and
(d) EUR 323,450,000 of its 4.25 per cent. Notes due 31 May 2011 (ISIN FR0010333377) (the "2011 Notes") (together with the 2014 Notes, the May 2013 Notes and the September 2013 Notes, the "Existing Notes").
The new notes issued by the Company to BNP Paribas are the EUR 750,000,000 4.00 per cent. Senior Fixed Rate Notes due October 2018 (ISIN XS0546725358) issued under the Company's EUR 10,000,000,000 Euro Medium Term Note Programme.
Following the Exchange, the relevant Existing Notes will be cancelled and the aggregate nominal amounts for such Existing Notes following such cancellation will be as follows:
