Notice of Annual General Meeting, Dividend timetable and posting of Annual Report
Calnex Solutions plc (AIM: CLX), a leading provider of test and measurement solutions for the global telecommunications sector, confirms that its Annual General Meeting ("AGM") will be held on 17 August 2022 at 9am at Oracle Campus, Linlithgow, EH49 7LR.
The Company's Annual Report and Accounts for the financial year ended 31 March 2022, along with the Notice of Annual General Meeting and a Form of Proxy, has been posted to shareholders and is available on the Company's website at: https://investors.calnexsol.com/.
Proposed AGM arrangements
At the time of publication of this notice and having considered the ongoing coronavirus pandemic and the latest Scottish Government measures on physical public gatherings, the Board is satisfied that the AGM can take place in person this year. However, given potential uncertainty, the Board encourages all shareholders to vote by proxy.
Shareholders who wish to attend the AGM in person, please email investors@calnexsol.com by no later than 5.30 p.m. on 1 August 2022 to confirm attendance in order that the Company can be confident that the facilities proposed for the AGM will be able to accommodate attendance safely.
The Board asks that you do not attend in person if you have symptoms of COVID-19 or have tested positive within the seven days prior to the day of the meeting.
The Company wishes to advise that, should the situation in relation to COVID-19 change, or any further Scottish Government measures on physical public gatherings be put into place, the Board may make changes to the format of the AGM, which could mean shareholders may not be permitted to attend the meeting in person. The Board recommends that shareholders monitor the Company's announcements for updates.
The Company remains committed to encouraging shareholder engagement on the business of the AGM and shareholders are invited to participate in the AGM via Zoom. In order to participate by Zoom, shareholders are required to pre-register by sending an email to investors@calnexsol.com by no later than 5.30 p.m. on 1 August 2022. Shareholders will then be sent by email a link to the Zoom meeting with detailed joining instructions
Shareholders can submit questions to the Board in advance of the AGM by emailing such questions to investors@calnexsol.com by no later than noon on 16 August 2022. The Board will consider all questions received and provide a response to those that directly relate to the matters of the AGM. Answers to shareholders' questions will be posted on the Company's website at https://investors.calnexsol.com/ as soon as practicable after the conclusion of the AGM.
Dividend timetable
As confirmed in the announcement of the Company's final results for the year ended 31 March 2022, released on 24 May 2022, the Company is proposing a final dividend of 0.56p per share. If approved by the passing of a resolution at the AGM, it is intended that the Dividend will be paid on 30 August 2022 to all shareholders on the register as at close of business on 29 July 2022, the record date. The ex-dividend date will be 28 July 2022.
