Issue of Equity

The Board of Brainspark announces that following the announcement issued on 2 April 2012, the Company has allotted 3,440,000 new Ordinary Shares of 2.5p each in Brainspark to the vendors of You Can Group srl as consideration for the acquisition of SoSushi and 3,440,000 to You Can Group srl as increase in capital in You Can Group srl. In addition, the Company has also allotted 6,306,667 new Ordinary Shares of 2.5p each in Brainspark to the vendors of Sipiem SpA.

Application for the total 13,186,667 new Ordinary Shares to be admitted to trading on AIM has been made and admission is expected to occur on 17 April 2012.

Total Voting Rights

As a result of the issue of the new Ordinary Shares mentioned above, the Company's issued share capital will comprise 88,909,377 Ordinary Shares with one voting right per share. There are no shares held in treasury. The total number of voting rights in the Company is therefore 88,909,377.

This figure of 88,909,377 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
