VOTING RIGHTS AND CAPITAL

In conformity with the FCA's Disclosure and Transparency Rule 5.6.1R, Chemring Group PLC notifies the following:

As at the close of 31 January 2015, Chemring Group PLC's capital consisted of 195,495,925 1p ordinary shares with voting rights and 62,500 cumulative preference shares with no voting rights, save in specified limited circumstances. Chemring Group PLC holds 2,198,814 ordinary shares in treasury. Therefore, the total number of ordinary shares with voting rights in Chemring Group PLC is 193,297,111.

The above figure (193,297,111) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Chemring Group PLC under the FCA's Disclosure and Transparency Rules.
