Publication of Prospectus

Contango Holdings Plc, the London listed natural resource company developing the Lubu Coal Project in Zimbabwe ("Lubu Project"), is pleased to announce the publication of a prospectus, as approved by the Financial Conduct Authority, (the "Prospectus") in connection with the Placing, announced on 31 October 2022. 

A total of 125,000,000 Placing Shares in connection with the Placing and 21,390,000 Performance Shares in connection with the Performance Options will be admitted to trading and admission of the Placing Shares and Performance Shares is expected to take place at 8.00 a.m. on Monday 7 November 2022 ("Admission"). The Placing, is conditional, inter alia, on Admission.

Further information is set out in the Prospectus, which can be accessed electronically from the Company's website at www.contango-holdings-plc.co.uk.

A copy of the Prospectus has been submitted to the National Storage Mechanism and will shortly be available for inspection at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism.

Unless otherwise defined herein, terms defined in the previous announcements have the same meanings herein.

In accordance with the provision of the Disclosure Guidance and Transparency Rules of the FCA ("DTRs"), the Company confirms that, following Admission, and assuming issue of the Consideration Shares in respect of the Acquisition (both as defined in the previous announcements), its issued share capital will comprise 472,724,023 Ordinary Shares, each of which carries the right to vote, with no Ordinary Shares held in treasury. This figure may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the DTRs.
