Character Group PLC22 January 2007 The Character Group plc ("Character Group" or the "Company") Total Voting Rights For the purposes of the transitional provisions of the Financial ServicesAuthority's Disclosure and Transparency Rules, the total number of ordinaryshares of 5p each of The Character Group plc in issue as at the date of thisnotice is 46,473,159. The Company holds 1,754,322 ordinary shares in Treasury which do not carry anyvoting rights. Therefore, the total number of ordinary shares carrying voting rights inCharacter Group is 44,718,837.
