2018 INTERIM DIVIDEND - SCRIP ALTERNATIVE

C&C Group plc (the "Company") announces that, pursuant to and in accordance with the terms of the Company's Scrip Dividend Scheme, 481,793 new fully paid ordinary shares of €0.01 each ("New Shares") have been allotted to shareholders who elected to receive New Shares in lieu of cash in respect of the interim dividend of 5.21 cent for the year ended 28 February 2018, payable on 15 December 2017.

Application has been made for admission of the New Shares to (a) the Official Lists of the Irish Stock Exchange and the UK Listing Authority and (b) trading on the Main Securities Market of the Irish Stock Exchange and the London Stock Exchange's market for listed securities. Admission is expected to become effective and dealings in the New Shares are expected to commence on Friday, 15 December 2017.
