Transaction in Shares by Directors

Charlemagne Capital Limited ("Charlemagne", the "Company"), announces that on 13 May 2014, the Company arranged for the Trustee of the Charlemagne Employee Benefit Trust to transfer 1,107,523 ordinary shares of US$0.01 in the Company to each of Adrian Jones, Lloyd Jones and Jane McAndry, who are all Directors of the Company. These transfers are in satisfaction of conditional Share Awards granted in May 2012 as part of a long term incentivisation strategy for executive directors.

Following this transaction, Adrian Jones has an interest in 1,341,719 ordinary shares, representing 0.53% percent, Lloyd Jones has an interest in 1,196,938 ordinary shares, representing 0.47% percent and Jane McAndry has an interest in 1,266,719 ordinary shares representing 0.51% percent of Charlemagne's issued share capital.
