At the Annual General Meeting to be held on 28 July 2009, it is proposed that the Articles of Association be amended primarily to reflect the provisions of the Companies Act 2006. 

A summary of the proposed changes is set out in the Annual Report and Accounts for the year ended 31 March 2009, a copy of which can be found at www.charlesstanleyplc.co.uk. 

As set out in the Final Results announcement on 11 June, subject to the adoption of the Article of Association it is also proposed that a Scrip dividend alternative will be offered to shareholders. 

Copies of the Annual Report and Accounts together with the proposed new Articles of Association and Scrip dividend circular have been lodged with the UK Listing Authority for publication through the Document Viewing Facility, which is situated at Financial Services Authority, 25 The North Colonnade, Canary Wharf, London E14 5HS (Tel no. 020 7676 1000).
