Notification of grant of share option awards to directors and other persons discharging managerial responsibility ("PDMR")

In accordance with the Charles Stanley Group PLC Approved SAYE Scheme 2015/16 (the "2015/16 Scheme"), on 23 December 2015 share options were granted to the directors and PDMRs set out in the table below. The 2015/16 Scheme operates for all eligible employees of the Company. These share options have been granted in conjunction with the individuals participating in a 3 year Sharesave savings contract.

The shares subject to the share options granted under the 2015/16 Scheme are ordinary shares of 25p each in the Company. The share options exercise price is 287p per share which represents, in accordance with the rules of the 2015/16 Scheme, 85% of the average middle market quotation of an ordinary share in the Company on the three business days preceding the Invitation Date of 2 December 2015.

The share options, which were granted in accordance with the 2015/16 Scheme, to the participating directors and PDMRs, are as follows:

The Scheme options may be exercised within 6 months of the appropriate anniversary date of the contract commencement date of 1 February 2016.
