Voting Rights and Share Capital

Following the issuance today of ordinary shares to certain current and former members of its management, as described in the prospectus issued by Card Factory plc (the "Company") on 15 May 2014, and in accordance with the UK Financial Conduct Authority's (the "FCA") Disclosure Rules and Transparency Rules, the Company hereby announces that on 20 May 2014:

· It has 340,696,235 issued ordinary shares of £0.01 each admitted to trading, all of which carry voting rights;

· It does not hold any ordinary shares in treasury; and

· Accordingly the total number of voting rights in the Company is 340,696,235.

The total voting rights figure (340,696,235) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Rules and Transparency Rules.
