Notification of dealings by a director/PDMR
Card Factory has been notified that on 23 June 2022, following the re-election to the board at the Company's Annual General Meeting of Nathan (Tripp) Lane as a non-executive director of the Company, Teleios Capital Partners LLC have agreed to make a supplemental payment to Tripp at some time in the future. This payment may be linked to the future share price and aggregate dividends declared on Card Factory plc's ordinary shares of 1 pence each (Shares), which shall be payable in certain future circumstances.
As previously disclosed, the board of the Company considers Tripp to be a non-independent non-executive director.
Tripp's shareholding of 200,000 Shares, in addition to this derivative interest in 173,410 Shares, stated in the notification below, is 0.11% of the Company's issued ordinary share capital.
This notification is made in accordance with Article 19 of the Market Abuse Regulation and the Disclosure and Transparency Rules.
