DIRECTOR SHAREHOLDING

On 23 May 2017 the Executive Directors of the Company were granted share awards over the Company's 1 pence ordinary shares in accordance with the terms of the Company's Deferred Bonus Share Plan (the "Plan"), the introduction of which was approved by shareholders at the Company's Annual General Meeting on 9 May 2017. Under the Company's Remuneration Policy deferral under the Plan applies to annual bonuses in excess of 60% of the maximum for Executive Directors and 50% of the maximum for the Chief Executive. The awards made, which related to the bonus for the financial year ended 30 December 2016, were as follows:

The awards have been made in the form of nil-cost options and will vest on 30 March 2019, being the second anniversary of 30 March 2017, the date that the equivalent cash bonus was paid. The price used to calculate the number of Shares awarded was 55.75 pence per Share, being the closing share price on 30 March 2017.
