Application for Admission
Banco Bilbao Vizcaya Argentaria, S.A. (BBVA) hereby announces that an application has been made to the United Kingdom Listing Authority (UKLA) and the London Stock Exchange (LSE) for 83,393,714 new ordinary shares in the capital of BBVA with a par value of 0.49 Euro per share (the Shares) to be admitted to the Official List of the UKLA and traded on the main market of the LSE. Admission is expected to become effective on 16 May 2013.
The Shares have been issued in connection with a system of flexible shareholder remuneration called "Dividendo Opción" which permits eligible shareholders the opportunity to elect to receive newly-issued BBVA shares or cash equivalent to the traditional complementary dividend. The associated free-of-charge capital increase of BBVA was approved at the ordinary general meeting of BBVA shareholders on 15 March 2013 and executed by the resolutions adopted by Board of Directors in its meeting held on April 3, 2013.
