Bodycote announces that on 1 May 2013, in accordance with the rules of theBodycote Incentive Plan ("BIP"), the Company made a contingent share award ofordinary shares in the Company ("Ordinary Shares").

The award noted below comprises a maximum conditional award of Ordinary Sharesof 17 3/11p each subject to the rules of the BIP and the applicable performancetargets. The options are only exercisable in 2016 if performance criteria aremet. No payment was made for the grant of awards.
