Total Voting Rights

Henry Boot PLC announces that, consequent upon the allotment of 851,737 Ordinary Shares on 01 December 2011 under the terms of The Henry Boot PLC Sharesave Scheme, at 31 December 2011 the Group's capital consists of 131,096,122 Ordinary Shares with voting rights. The Group does not hold any Ordinary Shares in Treasury.

The above figure of 131,096,122 may be used by shareholders as the denominator for the calculations by which they may determine if they are required to notify their interest in, or a change to their interest in, Henry Boot under the FSA's Disclosure and Transparency Rules.
