DIRECTORATE CHANGE

Bunzl plc ("the Company") today announces that David Sleath, who has served as a non-executive director since September 2007, will retire from the Board at the conclusion of the Company's Annual General Meeting on 19 April 2017. His independent advice and significant contribution to the Company's success have been greatly appreciated and he leaves the Board with the Company's thanks and best wishes.

The Company also announces that Lloyd Pitchford has been appointed as non-executive director with effect from 1 March 2017. Having previously held a number of senior finance positions with BG Group plc, latterly as Group Financial Controller, he subsequently joined Intertek Group plc, where he was Chief Financial Officer from 2010 until 2014, and is presently Chief Financial Officer of Experian plc. He has extensive international business experience which will be of great value to the Company as it continues to expand and develop.

Upon David Sleath's retirement, Lloyd Pitchford will become Chairman of the Audit Committee and Vanda Murray will assume the role of Senior Independent Director.

The Company confirms that (i) no other disclosures need to be made under Listing Rule 9.6.13 in relation to Lloyd Pitchford's appointment and (ii) David Sleath will continue to receive fees for his role on the Board and its Committees up to and including 19 April 2017 at the rates set out in the Company's 2016 Annual Report. David Sleath will not receive any payment in lieu of notice or for loss of office.
