Sale & Lease-back of Bedford DC

and Special Dividend

B&M European Value Retail S.A. ("the Company") announces that, following a lease-back to B&M Retail Limited of the distribution centre in Bedford (the "Property"), the Company has sold the entire issued share capital of Bedford DC Investment Limited, which owns the freehold of the Property, to WestInvest Gesellschaft für Investmentfonds mbH, which is part of the Deka Group of companies. The B&M Group has received a total cash consideration of £149.5m for the transaction.

The Board has declared a Special Dividend of 15.0p per share¹, which will be paid on 17 April 2020 to shareholders on the register of the Company as at close of business on 20 March 2020.

This announcement includes inside information which is disclosed in accordance with the Market Abuse Regulation.

¹ Dividends are stated as gross amounts before deduction of Luxembourg withholding tax which is currently 15%
