RESULT OF GENERAL MEETING HELD ON 8 NOVEMBER 2016

General Meeting

Further to the proposals in respect of the recommended merger of Baronsmead Second Venture Trust plc (the "Company") with Baronsmead VCT 5 plc ("BVCT5") which was announced on 17 October 2016, at a general meeting of the Company's shareholders held today, the resolution approving the proposals was passed. 

It should be noted that the scheme for the reconstruction and winding up of BVCT5 under section 110 of the Insolvency Act 1986 (the "Scheme") remains conditional on, amongst other conditions, the passing of the special resolution to be proposed at the second general meeting of BVCT5's shareholders convened for 30 November 2016. The Scheme will not become effective unless this resolution is passed.

A copy of the resolution passed at the General Meeting will shortly be available for inspection via the National Storage Mechanism. 

The proxy votes cast on the resolution were as follows:

Votes "For*": 33,476,299

Votes "Against": 349,462

* the votes "For" include those votes giving the Chairman discretion.
