Voting Rights and Capital

In accordance with the FCA's Disclosure and Transparency Rule 5.6.1, the Company advises that, as at 31 August 2019, the total issued share capital consisted of 136,889,860 Ordinary Shares of 5 pence each.

The Company holds 11,141,900 shares in Treasury.

Therefore, the total number of voting rights in the Company is 125,747,960.

The above figure (125,747,960) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.

The total number of voting rights above (125,747,960) includes the 62,892 shares purchased by the Company on 29 August 2019 which will be cancelled following settlement.
