The following amendments have been made to the Director/PDMR Shareholding announcement released on 17 April 2009 at 16.28 under RNS No 7856Q
Changed the date of when the Ordinary Shares were issued to participants of the 2004(b) LTIP from 28 October 2009 to 16 April 2009
Included the price at which the shares were sold to meet the PAYE and NIC obligations arising from the vesting of the 2004(b) LTIP shares
All other details remain unchanged.

The Berkeley Group Holdings plc
Director/PDMR Shareholding
The Berkeley Group Holdings plc (the "Company") makes this notification in relation to transactions notified in accordance with DR 3.1.4R (1)(a).
The Company was notified on 16 April 2009 that, under The Berkeley Group Holdings plc 2004(b) Long-Term Incentive Plan (the "2004(b) LTIP"), 3,997,757 Ordinary Shares of 5 pence each in the Company were issued to participants of the 2004(b) LTIP on 16 April 2009, at nil consideration in accordance with the Rules of the 2004(b) LTIP. At the same time the Company was notified that, immediately following the vesting, the participants sold sufficient shares, at £9.55 per share, to enable them to meet the PAYE and NIC obligations arising from the vesting of these 2004(b) LTIP shares. The transactions are summarised in the tables below:
