Issue of Equity

Aterian Plc (LSE: ATN), the Africa-focused critical minerals exploration and development company, announces that on the 6 November 2025 the Company received exercise notices from warrant holders electing to exercise their warrants and issue shares based on a 32.5 pence per share price for 260,000 new ordinary shares ("Shares").

Accordingly the Company has issued 260,000 Shares to the warrant holders and the Shares will rank pari passu in all respects with the existing ordinary shares of the Company. An application will be made for the Shares to be admitted to the Official List and to trading on the London Stock Exchange, with admission expected to occur on or around 13 November 2025.

Following the issue of the Shares, the Company's enlarged issued share capital will comprise 15,288,544 Ordinary Shares. This figure of 15,288,544 represents the total voting rights in the Company and should be used by shareholders as the denominator for the calculation by which they can determine if they are required to notify their interest in, or a change to their interest in the Company under the Financial Conduct Authority's Disclosure Guidance & Transparency Rules.
