Pentagon Protection PLC14 January 2005 Pentagon Protection Plc ("Pentagon" or the "Company") Issue of Deferred Consideration Director's Shareholding Substantial Shareholding Pentagon Protection announces that, in accordance with the terms of the sale andpurchase agreement for Filmtek Limited, which was acquired by Pentagon inDecember 2003, it has agreed to pay the vendors of Filmtek a total of £1,000,000deferred consideration. This is to be satisfied by the issue of 15,789,473 newordinary shares (valued at the December 2003 placing price of 4.75p) and thepayment on a date to be agreed of £250,000 in cash. Graham Bannerman, Director of Pentagon and one of the vendors of Filmtek, willreceive 9,789,473 of the new ordinary shares, taking his total holding to19,778,946 shares representing 13.03 per cent. of the enlarged issued sharecapital of the Company. Stephen Harrhy, another vendor of Filmtek, will receive 5,210,526 of the newordinary shares, taking his total holding to 10,421,051 shares representing 6.86per cent. of the enlarged issued share capital of the Company. Application has been made for the new ordinary shares to be admitted to tradingon AIM and admission is expected to take place on 21 January 2005.
