NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS
Further to the Company's announcement dated 8th February 2012 regarding the results of the Open Offer and the fact that 150,794 new Ordinary Shares would be subscribed by the underwriters and the Company's announcement made on 7 th March 2012, the Company is now in a position to detail recent market purchases advised to the Company yesterday and the resulting Directors' beneficial holdings of Ordinary Shares in the Company.

Stephen Cockburn also now has a non-beneficial interest in 80,859 Shares representing 3.95% of the issued Shares.
The Trustees of The Tyrell Green (1996) Retirement Benefits Scheme now hold, as a result of the recent capital changes, 65,049 Ordinary Shares in Associated British Engineering plc being 3.175% of the voting shares in issue. This holding is part of Mr Cockburn's non-beneficial interest.
In the light of the above information Stephen Cockburn's beneficial holding in Ordinary Shares of the company is that of 72,291 and not 72,237 as disclosed in our announcement of 7th March 2012. We apologise for this error.
This announcement is made in accordance with DTR 3.1.2R.
The Company was initially informed of the market purchases of Shares by the Directors on 6th March 2012.
