ArmorGroup International plc04 April 2008 ArmorGroup International plc (the "Company") Director's dealings and Notification of Interests in Shares This is to notify that the Company received notice on 1 April 2008 from SimonHavers, a non-executive director of the Company, that he had on that date becomethe beneficial owner of 80,000 ordinary shares of 1 penny in the Company as aresult of a transfer of such shares from his wife Sally Ann Havers. The priceat which the shares were acquired was nil (as a result of the transfer beingbetween spouses). Following such acquisition, Mr Havers' interest in the ordinary share capital ofthe Company relates to 80,000 ordinary shares of 1 penny, representing 0.15 percent. of the ordinary shares in issue. Simon Havers previously entered into an irrevocable undertaking to G4S (March2008) Limited (the offeror pursuant to an offer made by it to acquire the entireissued and to be issued share capital of the Company announced on 20 March 2008and detailed in an offer document dated 31 March 2008) in respect of the entirenumber of ArmorGroup Shares transferred to him by his wife pursuant to suchtransfer. This irrevocable undertaking remains in full force and effect.
