Advanced Power Components Plc
("Advanced Power Components", "APC", the "Company" or the "Group")
Directorate Changes and AGM Statement
Advanced Power Components (AIM: APC) the UK specialist distributor and manufacturers' representative of electronic components and promoter of technologies which reduce energy consumption, announces that Mr. Will David intends to step down from the position of Non-Executive Chairman immediately following the Company's Annual General Meeting (the "AGM") to be held at noon today. At a Board Meeting to be held immediately after the AGM it is the Company's intention to appoint Mr. Leonard Seelig to the Board of Directors as the new Non-Executive Chairman. In addition, a resolution to elect Ms. Tessa Laws as a Non-executive Director at the AGM has been included in the business of the meeting.
Leonard Seelig has had a successful career in finance spanning over 25 years and including senior positions in the US and Europe with America's largest banks. Mr. Seelig is currently actively involved both at an operating and board level in several companies in the green technology space, including: an anaerobic digestion operating and development company currently completing construction on its second commercial scale plant with a significant roll out planned; a European on-shore wind developer with well-developed assets in Northern Ireland, Poland and elsewhere; and a solar energy development finance company actively involved throughout Europe and increasingly in North America and select emerging markets.
Mr. Seelig's educational background includes a Bachelor of Commerce from the University of Witwatersrand in South Africa, and a Master of Science in Agricultural Economics from Texas A&M University in America.
Ms. Laws trained as lawyer, and, once qualified, specialised in corporate transactions in the media and renewable energy sectors. Tessa has since successfully established her own legal practice and consultancy, and is expected to run these alongside the duties she will take on with APC.
Mark Robinson, CEO of APC, commented:
"We are looking forward to working with Leonard and Tessa as we take the Group to the next stage of its development. Their aggregate knowledge and experience is expected to be of great value going forward."
AGM Statement
At the AGM, the Company will make the following statement concerning current trading.
"As previously announced, the Group has been undergoing a process of diversification. This has resulted in the traditional specialist electronic component distribution business being supplemented by new business in the emerging sustainability sector and the Group would like to take this opportunity to give a current trading update for both parts of the business.
APC is pleased to report that we are trading broadly in line with market expectations although the full impact of the recently announced contracts with a major retailer has yet to be determined. Whilst activity in the electronic component distribution sector remains subdued, the Group is negotiating with a number of electronic component manufacturers with the view to broadening the range of specialist electronic components that the Group promotes. Success in these negotiations would result in new opportunities for modest growth in this part of the business. We anticipate that this will be coupled with sustained growth relating to a wider economic recovery.
The Group addresses the sustainability sector through its subsidiaries Minimise Limited, Minimise Energy Limited and QV Controls Limited. These businesses offer both individual energy saving products to customers and potential customers with clearly identifiable energy saving opportunities, plus more complex energy management solutions created through the integration of a number of different energy saving or electricity generating technologies.
Progress in the first four months of the current financial year has been good and a significant pipeline is developing. The Group has been able to announce two contract wins from a major retailer and is hopeful that these contracts will grow significantly during the course of this year though at this stage both scale of the opportunity and the overall timeframes involved are yet to be confirmed. The Group is also involved in trials and negotiations with a number of other customers which offer the potential for the Group to significantly widen its customer base. In addition, a number of strategic relationships are being entered into with various well-renowned organisations which understand the value of the business models being created. The Board remains optimistic that through its subsidiaries the Company is well positioned to win further orders in the near future.
Mark Robinson, CEO of APC, commented:
"I would like to express the thanks from the entire Board of Directors to Will David who helped steer the Group through the turmoil created by the economic uncertainty in 2008 and 2009. He was pivotal in ensuring that the business is in the very positive position that it is in today.
"It is gratifying that the hard work put in over the past few years is beginning to yield returns. We look forward to updating the market on the scale of the opportunity that has been developed."
