Issue of Equity

Total voting rights

Northcote Energy (AIM: NCT), an onshore US oil and gas exploration and production company, is pleased to announce that further to the announcement of 11 October 2013 it has now applied for the total of 22,857,143 new ordinary shares to be admitted to trading on AIM.

Accordingly the Company has issued 22,857,143 new ordinary shares and application has been made for the new ordinary shares, which will rank pari passu with all existing ordinary shares, to be admitted to trading on AIM ("Admission"). Admission is expected on or around 27 February 2014.

Total voting rights

Following the issue of the new ordinary shares as described above, the issued share capital of the Company will consist of 1,238,066,657 Ordinary Shares. No shares were held in treasury at the date of this announcement. The total current voting rights in the Company is therefore 1,238,066,657.

The above figure (1,238,066,657 Ordinary Shares) is the figure which may be used by shareholders at the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company.
