Amphion Innovations PLC08 January 2007 This replaces the announcement made today at 7am under RNS number 0790P. Amphion Innovations plc Fundraising Monday 8 January 2007 - Amphion Innovations plc, the developer of life scienceand medical technology businesses, announces today that it successfully closed afundraising of £612,500 (before expenses) on 29th December 2006, the shares wereallotted and issued on 3rd January, 2007. Under the terms of the placing, the Company has issued 2,450,000 new ordinaryshares at 25 pence per share ("the Placing Shares"). The net proceeds from the placing will be used to invest in new and identifiedopportunities. Application will be made for the Placing Shares to be admitted to trading onAIM. It is expected that admission will occur at 8am on Friday 12th January2007. The Placing Shares will rank pari passu in all respects with the existingOrdinary Shares which are currently traded on AIM. Following admission thetotal number of shares in issue will be 100,100,224. As part of the Placing Richard Morgan, a director of Amphion, acquired 300,000Ordinary Shares in the Company at the placing price of 25p per Ordinary Share.Richard Morgan is now interested in 16,289,703 Ordinary Shares representingapproximately 16.274 per cent. of the total number of Ordinary Shares in issuefollowing the Placing. In addition, as part of the Placing, Amphion Capital Partners (a related entityand existing shareholder) acquired 1.025m Ordinary Shares in the Company and isnow interested in 8,025,000 Ordinary Shares representing 8.017 per cent. of thetotal number of Ordinary Shares in issue following the Placing. The shares areregistered in the name of Amphion Capital Partners. The partners in AmphionCapital Partners are Richard Morgan, Robert Bertoldi, Richard Mansell-Jones,Anthony Henfrey and Jim Macaleer, all of whom are directors of AmphionInnovations.
