Shares Issued for Exercised Warrants
London and New York, 7 April 2015 - Amphion Innovations plc (LSE: AMP) ("Amphion" or the "Company"), the developer of medical and technology businesses, today announces that the Company has issued 15,239,477 ordinary shares of 1 pence each ("Ordinary Shares") to YA Global Master SPV, Ltd, Ashworth Global Investments Limited, and Global Market Neutral Strategies SICAV plc in settlement of their exercise of warrants that were issued in conjunction with the loan facility, previously announced on 5 June 2014, at exercise prices between 3.5 and 4.375 pence per Ordinary Share for total proceeds to the Company of £580,842.62. There are no remaining Amphion warrants exercisable under the loan facility. The new Ordinary Shares to be issued represent 9.11% of the enlarged issued share capital.
Admission to trading on AIM ("Admission") of the 15,239,477 new Ordinary Shares, which rank pari passu with the existing Ordinary Shares, has been applied for, and it is expected that Admission will become effective and dealings in the new Ordinary Shares will commence on 10 April 2015. Following this allotment the total issued share capital of the Company will increase to 167,309,343 Ordinary Shares with each share holding one voting right.
