Publication of Prospectus

Further to the announcement made on 11 February 2021 by Alpha Growth plc (the "Company") relating to its strategic acquisition and placing (the "Placing Announcement"), the Company is pleased to announce that the Prospectus has been approved by the Financial Conduct Authority and has been published on the Company's website www.algwplc.com .

The total number of placing shares to be admitted to trading is 187,500,000 and admission of the placing shares is expected to take place at 8.00 a.m. on 21 December 2021 ("Admission").

On Admission, the Company's issued share capital will consist of 431,887,388 ordinary shares. The Company does not hold any Ordinary Shares in Treasury. The total voting rights from Admission will therefore continue to be 431,887,388 shares. This figure above may continue to be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules, as previously announced on 5 June 2021.
