(TRPA) is the parent undertaking of T. Rowe Price International, Inc. (TRPI). TRPI is a wholly-owned subsidiary of TRPA. TRPA and TRPI serve as investment adviser to various institutional clients that hold shares of Allied Irish Banks, p.l.c. (AIB), and consequently, TRPA and TRPI have the power to direct the trading of AIB shares as well as exercise the voting rights attached to AIB shares on behalf of such clients. The custodian banks in which our clients' AIB shares are held in nominee name are listed in No. 4. Note: Of the total 45,508,610 ordinary shares, 2,954,800 are represented in the form of 1,477,400 American Depositary Shares (ADS), with each ADS representing two ordinary shares.
