("Amiad" or "the Company") Directorate Change Amiad announces that, at a Board meeting held on 12 December 2007, Mr DanMichael Falk was appointed as a non-executive director of the Company withimmediate effect. Mr Falk replaces Mr Ilan Ben-Gigi, who stepped down from theBoard on 11 December 2007. From 1999 to 2000, Mr Falk, 62, was Chief Executive Officer and Chief OperatingOfficer of Sapiens International Corporation N.V. From 1985 to 1999, Mr Falkserved in various positions in Orbotech Systems Ltd., including Chief FinancialOfficer and Executive Vice President. From 1973 to 1985, he served in severalexecutive positions in Israel Discount Bank. Mr Falk serves on the board of directors of Orbotech Ltd. (NASDAQ: ORBK), NiceSystems Ltd. (NASDAQ: NICE) (TASE: NICE), Ormat Technologies, Inc. (NYSE: ORA),Nova Measuring Systems Ltd. (NASDAQ: NVMI), ClickSoftware Technologies Ltd.(NASDAQ: CKSW), Attunity Ltd. (NASDAQ: ATTU), Jacada Ltd. (NASDAQ: JCDA), OradHi-Tec Systems Ltd. (FWB: OHT) (AIM: OHT), Dmatek Ltd. (LSE: DTK), AdvancedTechnology Ltd. (FWB: VSJ) and Plastopil Hazorea Company Ltd. (TASE: PPIL). Heis also a director of the following private companies: Poalim Ventures 1 Ltd,Tasiot Gazit, VCortex Ltd. and Dan Falk Management Ltd. Mr Falk was also previously a director of Netafim Ltd., Visionix Ltd., MedconLtd., Dor Chemicals Ltd., Ormat Industries Ltd, CompVision Ltd. and Ramdor Ltd. Mr Falk holds a Bachelor's degree in Economics and Political Science and aMaster's degree in Business Administration from The Hebrew University ofJerusalem. The Board of Amiad regards Mr Falk as being an independent non-executivedirector for the purposes of the Combined Code on Corporate Governance. Mr Falkdoes not hold any shares in the Company. Avi Heifetz, Chairman of Amiad, said: "We are delighted that Dan has joined theBoard. We believe that his extensive knowledge and experience will provideimportant guidance and support to the Company". There are no further details specified by paragraph (g) of Schedule Two to theAIM Rules for Companies to be disclosed in respect of Mr Falk. The Board of Amiad has also agreed to nominate Mr Tal Yeshua in place of MrYosef Rokah as a non-executive director of the Company at a shareholders'meeting to be convened at a date to be determined in the early part of 2008. On29 August 2007, the Company announced Mr Rokah's intention to leave the Board ata date to be determined and it is intended that his departure will becomeeffective at the conclusion of the proposed shareholders' meeting. Oncearrangements for the shareholders' meeting have been finalised, a circular toshareholders will be issued.
