The Albemarle & Bond Holdings plc - Long Term Incentive Plan ("the LTIP")
The Company announces that on 1 December 2008 it received notices of exercise from the following directors of the Company relating to their exercises of 100% of the LTIPs awarded to them, being the respective number of Ordinary shares of 4p ("Shares") each shown in the table below at the market price on the date of exercise of 176.5p per share:

The Company announced on 31 October 2008 that the remuneration committee of the Company had confirmed that the performance targets and all other conditions, as set out in the LTIP Rules, adopted by the Company on 9 March 2006, have been satisfied and 100% of the Awards granted to four directors had vested unconditionally.
The Company further announces that the directors listed in the table above made the following market disposals of Shares in the capital of the Company each at a price of 176.5p per share and their resultant beneficial interests in the share capital of the Company and the percentage of the total issued share capital in each case is shown opposite their respective names:

The Company approved on 1 December 2008 transfers in respect of a total of 327,917 Shares from Albemarle & Bond Trustee Limited as Trustee of the Albemarle & Bond Pawnbrokers Limited Employee Benefit Trust ("the EBT") in respect of the exercises of the LTIP Awards.
On 1 December 2008, the Trustee of the EBT made a market purchase of 131,167 Shares at a price of 176.5p per share. Following the above transactions the EBT is interested in 446,667 Ordinary 4p shares representing 0.81% of the Company's total issued share capital.
