No. There will be drag and tag rights whereby a certain threshold is met and everyone else is dragged along. Varies agreement to agreement, but it's often 50%. Sometimes special resolution is required if there's nothing in a shareholders agreement and needs to be 75%.

This is not how share repurchase works. It goes to treasury share account (as a debit) in equity. All it does is artificially increase EPS, which isn't bad, but the profit doesn't change.

First off, an awful lot of wilful idiots / trolls on here. Not unexpected as they're everywhere on this board.
The interview wasn't great. Gives the press a reason to write a story even though he isn't saying anything other than UK is crap for IPOs. Which it is. The share price in the US would be multiples what is is. Even multiples of what it was.
Agree with his point about UK valuation of multifaceted companies. Again it isn't good.
The share price has been hammered. Probably a mix of shorters but unfortunately mainly just ordinary sellers (Inc BR). Might form a base here but may slip a little further.
As MM says; if he keeps nailing the financials then the business looks after itself, but getting a strong chair in will help the city get on board with perceived corporate governance issues. That will help the SP rise much faster.
I don't think he's comfortable with the structure. He needs someone dealing with the day to day boring governance so he can carry on running the show out of the spotlight. At least of the city.

Only thing deterring PE bids here is the debt pile. Even with that the enterprise value of the business is very low.
The enterprise value of the business you can essentially reverse work as follows;
Let's be conservative and round down adj EBITDA to $500m for the half year and assume no seasonality so double it for the full year. Debt pile is $4b. Current MCAP is $1.8b.
Enterprise therefore c.3x adj EBITDA (ish) for a recurring revenue software business. That seems ridiculously cheap to me and why I'm holding.
There is still a very real possibility that this gets subject to a bid / hostile takeover. I can't see the directors recommending an offer under £10 here.

Why are you bickering with each other. Absolutely nothing you say here has any effect on the SP whatsoever. I think this is significantly underpriced and I am long here, but I understand the reasons for a bearish view too. Having said that I think the sell off is way overdone relative to the last release.
Stop posting pointless stuff on here and go enjoy the sunshine!
