Dustbin, I will keep this as short as possible.
I have been over this before, but here goes. The rules are crystal, if you have a material event if must be reported “without delay” it doesn’t matter if that is a contract, a fund raise, an acquisition, etc, etc. let me give you a “hypothetical” eg.
If Zenakine has been flying and Croda had sold £100m and Sbtx were due to receive/had received a payment of £10m, that cannot be withheld from the market until results, it is material and it must be relayed to the market “without delay.”
Now, there are three scenarios.
1, We haven’t received any Croda revenue.
2, We have received Croda revenue (but it isn’t material)
3, We have received Croda revenue, it is material and it is being hidden in some way.
The market is currently valuing Sbtx on scenario 1 & 2, if that is correct, fine, all is good, not what investors expected or have been lead to believe, but no rules have been broken. However, if scenario 3 has happened (which most investors have been lead to believe) the BOD have a huge problem.
Let’s look at some facts.
1, Before YE we had Superdrug capex.
2, At YE we ended up with £700k more than expected (not including capex, that would have to be added back, so the actual cash figure will be greater)
3, We have had the CFO leave.
4, We have had a newly appointed COO leave who lasted just 6 months. (The co decided investors didn’t need to know about this in a timely manner), hat tip to mol.
5, We have had a downgraded broker note.
6, We have had a material miss on revenues on the downgraded broker note.
7, We have had a £4m fund raise which we didn’t need, then we did need.
8, We were promised Croda numbers, they never arrived.
Whilst all of the above was unfolding someone was hoovering up 10% of the company without following protocol and only decided to inform the market once they had passed 9%.
Now if you think that is transparent, I suggest you go to a good opticians and get an eye test. Corporate governance is out the window. The company is being run like a sweet shop and pi’s are being treated like pieces of excrement.
The million dollar question is why, is it just incompetence or is something more sinister at play? I don’t know, but I will find out.
The company needs to come clean and it needs to do so immediately.
