If one examines graphite companies at PEA stage the enterprise value at just maiden inferred resources below or at 5% is £25M. We have someone trying to tell us that a stock with qualified reserves at DFS stage should have its share price discounted back to PEA stage just 8 weeks after achieving DFS status. Two graphite mines in Tanzania are privately owned. Elmore who bought Greyhill Mining are not the only company buying graphite companies at this time. Zeal was picked up privately 15 years ago by Indian owners in Mumbai. We do not know what the future is, but it is certainly not one route that someone has an obsession about.

To change a few points raised by our resident shorter who wants cheap shares.

1. Cash burn is sharply reducing. The company has several months to negotiate deals.

2. The company does not have to unlock a DFC loan today and to imply it has to do so is wrong.

3. We do not own 100% of nothing. It has a material value of what the company is worth of reserves in the ground full stop without a mine constructed. If a funding sources comes forward and we get a mine plus reserves it has a higher value. The company moves on to forward PE rates and it may have more Capex to replace sold reserves. The focus is on the loan and interest rate and pay back terms and the company decides how much they want to dilute as contingency to grow the company and de-risk project overruns. The value of reserves goes up higher with a functional mine and as it is being constructed and the increased value quite often is more than covers any impact on share price. Stage 1 is designed to deliver this route if no buyer for the company comes forward at this time. Quite often the share price can drop once a new mine is commissioned and recovers in the second year of production and has a lot to do with a build of mined ore for processing.

What equality does not understand is that if an asset is high quality and likely to be more profitable to mine than other sites, other companies will hardly bother trying to knock off a discount on current SP against the wishes of other investors. They will either by the whole licence or project or want some of the pie and be a joint partner and recognise the years of drilling and work that was done already. The CEO is not a fool giving up his time for nothing in all of this. Equality wants cheap shares and puts up a financial model that he is hoping for on an asset that is priced quite reasonably against a declared JORC reserve. The company is not running out of funds. It has a wonderful asset to pitch. I would not be surprised if Mike finds an interesting funder with a lot of cash. He may also meet some New York banks that want a graphite company that is listed on a stock exchange in their portfolio and for 10% share of the company they might pay over the share price to speed along the phased development. MG and State Street do just that.

An off taker or Glencore taking a position plus an organisation like MG or a Sovereign national African Fund all take cornerstone funding positions. Yes extra shares are taken up and not at 5p as you suggest and it can be at the existing share price and the risk is shared by all parties. The management team are capable of doing deals. There is a lot of permutations of how debt is acquired and your suggestion is just 1 model. There is a possibility that phase 1 is skipped and a far bigger solution is adopted to go for the whole lot more funding and create a large scale operation that produces commodity output at high volume.

The company raised some cash in December to cover Q1 costs for the most part. The funding was to include some recruitment of staff which they probably need at this time.

The drilling results do have value in they demonstrate that previous investment over $3M has been recovered on the discovery of far more resources. If the drill results were negative it would need to be written off as cash burn. Instead it eventually adds tonnage of resources and reserves and drives up the valuation of the company. In my opinion a significant percentage of the reserves in the ground covers the valuation of the stock price. We are sitting in a wide fair value range imop 6.75p to 9p.

Helpful having a range of views. The market overall has also been negative on equities this week. Unless one held utilities and perhaps oil companies quite a few other areas have started to discount the SP. Keep some cash in your portfolios.

The company is valued at $58.45M at the current UK share price. The value of declared reserves and resources suggests a minimum revenue after recovery that is around $200M. Over 15 years of mine life this equates to $13.33M per annum and the net profit margin after tax and debt repayments and replacement ore drilling is probably $3.3M a year. At a typical PE rate of 10 this values the company at $33M or 4.5p per share. The rest of the value is having permits, licence area, cash in the bank etcetera, but it excludes price discovery of what a buyer would pay for the company as they may have a better idea of how the revenue may increase in future years. Overall companies trade at a greater price than its reserves and resources. The usual range is 1.5x to 2x in the ground value. This gives a price range of 6.75p to 9p. Future additions of reserves and resources add to this range and are therefore useful imop.

The company can only control what is in their power. Financing sources will have a different set of stakeholders to satisfy and have their own timelines to adhere to. The company are investing their resources next week in building up relationships, explaining what the company has achieved and the different pathways they can pursue. They will also learn more about changes in future demands for their product, current liquidity for financing, any further challenges relevant to them operating in Africa and meeting individuals with skill sets they may need to recruit in the future. They may learn more of what they do not know about at present that informs the best decision pathways and plans they need to formulate in more detail in the coming months. The conference next week is not a jolly and it is vital is that any major decisions to be taken are done so after much thought.

Indaba Conference is 9-12th of February. A lot can happen at that meeting. Reason for hold recommendation.
