i’m not sure pi’s have enough shares to take it over 75%… those shareholders i listed below who each hold >1% and have been reporting all their trades during the offer… they own 25% between them… doubt they’re as fearful as we are to wait until ganfeng need to dip into their coffers for a little extra to get it over 90% for the squeeze out…

it’s not advice… it’s just having access to the accept the offer button… it should be available at all material times that the offer is open…

only 3 reported that they crossed below 1%… do they not need to report once they accept the offer to sell their shares to ganfeng… particularly now that it’s unconditional…

it’s getting a bit scary isn’t it… especially after this morning’s unannounced suspension…

today is ex-date… 20dec2021… not sure if that’s 6.00pm though… as it was for the record date…

a buyer of bcn shares ahead of the ex-date (as set out in the below table) will also acquire the benefit of the zinnwald distribution… and the seller will need to pass the benefit of the zinnwald distribution to the buyer… even if the seller remains as the registered owner of the bcn shares on the record date…

guess that’s the 20days notice to delist timetable out the window too… lol… and the 75% to do it… wow…

except with the consent of the panel… the consideration must be sent to accepting shareholders within 14 days of the later of:
the first closing date of the offer…
the date the offer becomes or is declared wholly unconditional…
the date of receipt of an acceptance complete in all respects…

no… i still have a lot to learn from this experience… but the risk factor has just increased somewhat… now that the timetable i was following previously is out of the window…

it don’t think that it will resume now… as was anticipated in the suspension rns… they already achieved the 50% acceptance condition during the offer suspension period… it doesn’t need to resume… it’s unconditional… we have the unconditional date 17dec… settlement for those shareholders who have already accepted will be within 14days… dissident shareholders can continue to accept until ganfeng close the offer… or have a minimum 3months from the end of the acceptance period to require ganfeng to purchase their shares on the terms of the final offer or on such other terms as may be agreed… ganfeng have 3months from the end of the acceptance period to get to 90%…

i may change my mind bob… can they not use the acceptances they have already to vote and conclude the takeover as a scheme… or now that it has been declared unconditional… are they now committed to conclude the takeover by this path only and must now to get to 90% ownership…

they do seem to have been able to keep the offer suspended rather than have it automatically resume at the anticipated t-28days after obtaining macc1… probably in everyone’s interest (ganfeng bcn and the panel) for them to achieve the 82.16% now required for them to revert to a scheme and get the takeover completed in the quickest and easiest way possible from here… the 75% and 20days notice of the cancellation rns sometime next week giving us the last little push needed… 20-days to get from >75% to >82.16%… with shareholders still being able to accept at the simple press of a button in their trading accounts during that time…
