tesla’s offtake was with the sonora lithium project jv partners for lithium hydroxide… then bcn were tasked with funding the stage 1 pilot plant… which they went away and did and secured the 100% offtake with hanwa for lithium carbonate… when ganfeng came along with their 50%/75% offtake… it did confuse everyone at the time thinking that it conflicted with hanwa’s offtake… but clearly it didn’t/doesn’t… not now anyway… ganfeng are using our scoping study for their 50%/75% offtake from the jv1 concessions… leaving the 50%/25% available for anyone else… and bcn’s feasibility study for hanwa’s 100% offtake… do tesla still have a call on this or did they officially cancel that conditional offtake… that bcn defaulted on… read the t&c’s…

it’s worth tracking back through the sonora offtakes… with what we know now… and think outside the box…

it is estimated that the mine and processing facility will have an initial production capacity of approximately 35,000 tonnes of lithium compounds… with scaling potential of up to 50,000 tonnes per annum…

sorry forgot… gm have thacker pass now don’t they… paying market rates at the time of sale x formula… to repay their initial $650m investment for 10% lac… (i’ve seen a deal like that before… but on a much smaller scale)…

it doesn’t… nor can they afford to buy it… so the end goal will be achieved where the deal includes a few gigafactories and ev car plants etc dotted around in mexico… mexico receiving revenue and taxes etc from all this investment development and production along with significant employment opportunities… win-win-win… they won’t let anyone export lithium until there is a significant supply chain established in mexico… and all exports will be production over and above this… the alternative… thacker pass… which won’t benefit mexico at all…

vertical integration might make even more sense now… for our 30% jv’s anyway… ;)

what nationalisation is this… if like oil… mexico already owns the mineral rights… always have… hence the 7.5% royalties and taxes etc… if like america… land rights include mineral rights… they didn’t but do now… but nothing different…

in 2014… the mexican government introduced a mining royalty of 7.5% on mining revenues based on the same taxable base as for calculating income tax with the exception of excluding depreciation amortisation and interest (i.e.: 7.5% x ebitda)… this royalty is itself deductible against the net income used to calculate general corporation income tax at 30%… the royalty is applicable to the holder of the mining concessions…

surface rights sufficient for mining operations are obtainable have been purchased from local landowners… should such activities develop on the concessions and title is currently held by msb…

in july 2014 and as part of bacanora’s admission to the aim market on the london stock exchange… a legal opinion was prepared in relation the mineral concession status… the opinion prepared by melicoff & asociados abogados confirmed that…
each mining concession is in full force and effect and has been duly validated by the mexican mining bureau and is free from any liens and encumbrances…
each mining concession was validly issued for a period of 50 years…
each of the mining concessions are in good standing… and they are not subject of any unusual or onerous conditions… and their existence or validity will not be effected by any change of control…
bacanora and cadence do not see any reason why the pending applications which have been granted full concession status by the ministry of mining will not be approved by the ministry of mining and confirm that these transfers are being processed…

the sonora lithium project consists of seven concessions which confer rights for exploration mining and production… in addition… bacanora is a 70% owner of an additional 3 concessions… which surround the sonora project… which are not part of this mre or fs…
