Nope nothing from NOMAD and it still hasnt been filed (It shows up instantly when filed electonically on CH website). As I say it excites me that it isnt filed as some of the reasons why that might be although the obvious and most likely one is sloppiness.

I'd best make this my final point on this as if it is filed pronto then there is no issue. Happy for it not to be filed pronto because I think any issue would be good for us PIs. I dont think that the moving to the main board as part of the initial deal was enough to be a PSC as it was part of the deal. What would be is if the deal gave them a kind of golden share which allowed them to appoint a director, remove BOD or alter the course of the business in the future. Filing AR would stop my wild speculation. I dont think that GT is a PSC as his duties will be laid down in the Articles of Association so he needs the BOD and shareholder approval to do anything significant. It is simple to file saying there is no PSC.

Before the PSC, life was so much easier. We could hide husband's businesses from soon to be divorced wives. There are so many benefits to being able to hide who controls a company, but that sadly is no longer possible. If SEV did give up enough control to Cascade, then we could still find out who is behind Cascade - individuals, Mobileye, Intel?? That is the significance to it not being filed to me. Trading news expected on 30th should be good, but takeover news would be much better.

Agree MickR if Cascade is in a position of exercising control it is the person or persons exercising control of Cascade that need to be on the PSC. I did inform the NOMAD and Antony Legge (he is the only person at SEV who's personal e-mail I have and he is directly involved in issueing RNSs) that it was a criminal offence. The CS can be filed in 2 minutes, I think that Companies House states 10 minutes but it is a lot quicker than that. So why hasnt it?

No I didnt get a response, and I know the e-mail was read. Previous correspondence with them has been returned by them very quickly. Sometimes within an hour and once a quite detailed in less than 1/2 a day.

Hereandnow is if Cascade or anyone else can exercise significant influence or control over the company I am interested in, if they can then they are a PSC and it should be reported in the overdue Confirmation Statement, if they cant then why not file it saying there isnt one.

Brandaneman, Control is deemed at 25% but it is also possible to be a PSC doesnt have 25% but "does exercise 'significant influence or control' over the company" so if a person (or firm) can direct the activities of a company, this would be indicative of control. What have we allowed Cascade to do as part of the deal??? Possibly nothing.

I thought I would wait until after close. The Confirmation Statement for the Company is overdue. https://beta.companieshouse.gov.uk/company/05143241 Both the NOMAD and NED Antony Legge are aware of this because I informed them. It only takes about two minutes to file and costs £13. BUT, for the first time this year their is also a Person with Significant Control statement (PSC) to file. You must state if there is a PSC and what type of Control or Influence they have over the company. I cannot see any reason why it is still not filed (especially as I informed the Company) apart from them not wanting to name the PSC. - who could that be.

Definitely not sticking up for them, but on the normal no news day of this share even with a spread of 25% there is bugger all profit in it for them, surely unless there is news the SP is left to software and AI. I can't flick between screens as I am on n my mobile but from memory there has been best part of 1m more purchases (actual not recorded) than sales over last 7-10 days but still SP has dropped. Not necessarily a lot in £ value and I am unsure how much stock MMs carry in a low volume stock. But they must be getting short of it. Come Friday they may be able to have a small amount of mine at double figures, it will take dependent on news well in to the 20s for them to take the majority of mine.

It not just the 135K buy today but the 150K buy on Friday 23rd, 100K and 150K buys on 22nd. Its either a new PI or 2 or a current PI who has found a bit of extra cash - I wish it was me.

@Brand, I think that Cascade dont need to look at the interim accounts before putting in the next $2m. I think they already know what is happening.By Saturday 1 July the interim accounts to 30 June is historic data (historic data no one has seen but still historic). Cascade are about the future and what it will do for the SP and their investment. That said, if I was Cascade I would have probably insisted on a seat on the board or at least the interims to be 20 October. Looking forward to this week ahead.

I am glad in reality that you do like me. The answer is they could be done in less than a month, subject to SEV's bookkeeping being in good order. Most of the audit work can in fact be done pre year end now. So if necesary they could be signed off by 31 January 2018. Would have thought more reallistically 28 Feb but if we really wanted to then it could be done by 31 Jan.

Very small PIs who invest <£1K, everything is relative but these arent going to move the market. A couple of the 150K buyers should but probably not with these MMs.

Brand what I mean is Cascade offering part or all of their holding to the IIs as part of the move up to MB, not to drip feed on to the market. A kind IPO as such.
