Completion of disposal of Kun-Manie Project for US$35 million

Amur Minerals Corporation ("Amur" or the "Company") is pleased to announce that it, together with its wholly owned subsidiary Irosta Trading Limited ("Irosta"), has completed the previously announced (5 August 2022) sale of 100% of its interest in Irosta's wholly owned subsidiary, AO Kun-Manie ("Kun-Manie") to Bering Metals LLC ("Bering" or the "Buyer") for a total consideration of US$35 million (the "Disposal"). This Disposal was approved by shareholders on 24 August 2022.
Highlights
· The Buyer has transferred the total consideration for the Disposal of US$35 million to the Company and receipt of funds is expected imminently. We will update shareholders as soon as the consideration has been received by the Company.
· The divesture price represented a premium of 119% to the Company's market capitalisation of 03 August 2022 and a 44% premium to the Kun-Manie book value of US$24.3 million as at 31 December 2021.
· The Disposal was recommended by Directors and was approved by shareholders at a General Meeting held on 24 August 2022.
· Following the receipt of the consideration of US$35 million, the Company intends to pay a special dividend of 1.8 pence per share to shareholders within 90 days of receipt of the consideration.
· The Company will continue to be listed on AIM as a Rule 15 cash shell which intends to provide enhanced opportunities to create and deliver shareholder returns.

Might that coincide with the DFS feedback, would be great to recieve news on both and a sale update :)

I should add also, in fairness to Gary he was big enough to admit he called it wrong (not the fax number lol), as we all

Totally inaccurate.
TW was initiially very positive in regards to EUA from back in the days when EUA was trading below a penny.
When it reached around a penny Sharepoppets turned bearish.
We a then had the gloroius moment of Gary sharing a tweet to a Russian bank calling a fax machine on a Sunday superseded by a SP rise to 40p.
Even at todays SP EUA is a multi-bag from a penny, therefore I think we can conclude TW and sharepoppets got it wrong.

As bizarre as it sounds the certificate is apparently lost. To those persistently informing us what a shambles the company is (scotty doggus) appreciate the diligence of the legal teams the company engage.

I’ll judge them at the end of the process no matter how long that takes. I believe the BoD have had a extremely difficult scenario to deal with but up until the war they were delivering and even after we now are almost full tilt at WK we have a DFS pending and we know the Rosgeo license part which shows the Russian authorities are working with us not against.
Also we know we are pending news on several fronts could arrive any time so retain confidence the BoD are working to the best resolution possible which is in their best interest.

Morning, correct hence 'it has announced issues with transfer of finance/banking' but as yet we have not announced a buyer given our setup cannot see too many similarities in that regards however....there is a war we have irrational people at the helm so we cannot rule anything out I concede.

In regards to AMC & EUA the only analogy is the country and the implications of working in that country (not that AMC are 'working').
AMC have already announced the buyer, it has announced issues with transfer of finance/banking has zero mining production and appears to be surviving on investor cash?
I looked at it way back never considered it a viable option due to logistics and BoD.

No surprise to see BR bail they had already massively reduced their holding to what was left, this has likely been ongoing for a while no 'poof' moment where morning star are concerned I am afraid as there appears considerable lag with their reporting?
I did note the BR 'rebuid the Ukraine' which is tantamount to total supression & slavery dressed up as aid, horrible for the Ukranians the pawn in a battle for opposing agendas.

Given the potential WK output this year with the dragline, pending DFS, Rosgeo license detail recently and no plan in the previous AGM for a raise aside from the obvious (uncertain geo politics and unpredictability of war and escalation) how in your workings do you assess the company to ‘be in trouble’?

'so we are stockpiling resource because of sanction implications' there is no evidence or update that suggests anything of the kind, and no evidence or suggestion of a raise as it was not referenced in the previous AGM without an EGM and favorable voting not plausible.

How is stockpiling an asset deemed higher in future value a red flag? I would be more concerned if the asset were sold in haste at a low price (ie; Gordon Brown UK gold reserves)?

but shareholders would want clarity on reasoning, why not use that resource/cash to invest, give divvy, pay debt, buyback shares…etc

- 'resource/cash to invest' - if a resource is assesed to increase in value that represents investment.
- 'give divvy' on (approx) $5.6 million?
- 'pay debt' to what debt are you referring, the company is not in debt?
- 'buyback shares' in an NDA period ?
