Shard appointed the administrators as they are permitted to do as a secured creditor. With EGHOS stepping up to settle to debt in exchange for a promissory note from Iconic and OTT Ventures being supportive, I expect Iconic to quickly be relisted once Shard have been paid their money.

Shard would have been aware of proposed funding but Shard also had as condition of its own funding namely no new transactions with EGHOF st looks to me that Iconic shareholders have been caught in fight between Shard and EGHOF.

Cash 2 Iconic may be main market but it’s on the standard list which has lower requirements than a Primary Listing on main market. Second last accounts showed it had net liabilities as opposed to net equity and was loss making with no current real business. It was in reality a dirty shell with significant financial problems.

Yes it had a lot of talk of buying new businesses and issuing a load of shares to do so but that was in the future.

Perhaps OTT will step up to the plate with EGHOF to repay Shard and get listing restored but even if they do I suspect they will grab shares at cheaper price in exchange for saving the company. To be honest what is there to save? Shard have charge over any assets and thus rank ahead of shareholders.

My money is on administrators winding the company up and pursuing David Sefton for the £1 million loan damages to business of behalf of Shard Capital.

The Board should clarify things with RNS on Monday.

Although a long term critic of Iconic this is still a sad day for investors who will lose everything.

Looks like Shard pulled the trigger perhaps due to breach of terms of loan i.e. Iconic not dealing with EGHOS again.

As Shard have fixed and floating charge over assets they will be first in line for any payout.

I am surprised that they didn’t wait for general meeting when EGHOS would have injected more cash into Iconic.

The share will be suspended from trading before opening on Monday by the FCA.

Toddy going concern statement requires at least 12 month look forward from the date of signing accounts ie until June 2022 so accounts are not just historical exercise.

MRRR IIs buying SYME shares in the market does not generate any cash for SYME. To raise cash for SYME the company you need to issue more shares ie a placing.

MRRR how will IIs get NEW shares to raise cash for SYME takeover of Tradeflow without a placing?

The RNS indicates that a placing will be coming.

At least when the 2020 accounts are published they will now have been looked at by the new CFO because she is joining the board on Monday.

Clumpet SYME will only consolidate Tradeflow once completion of acquisition occurs forecast for end of June. SYME should disclose Tradeflow as a non adjusting post balance sheet event. SYME could also make voluntary disclosures about. Tradeflow business as well.

Shame that SYME didn’t put some numbers of Tradeflow business such as number of inventory deals, their value, funds under management and their performance since inception etc so market can form a better view. We all understand that future growth could be huge. Bears will say that is because current numbers are tiny.. Bulls will cite privacy or some other reasons.

SYME doesn’t do itself any favours with its lack of clarity. Most deal RNS announcements provide some financial metrics on the acquired business.

Time will provide this information either in 2021 interims or full year accounts.

Selling off businesses will be easier than improving existing ones.

Aviva has had numerous restructuring in last decade so I will watch with interest to see whether CEO can really move core business forward.

Some of the messaging round U.K. business in last presentation talked a good game in terms of reducing IT systems and premises but I want to see some progress reflected in results. Perhaps get better idea at interims.

The bull market is attracting a lot of new punters who like to trade which is good news at present.

May make life tougher when bull market ends but in meantime business can grow offering and products and enjoy strong profits.

The investment platform space whilst consolidating looks to be a good investment for market leaders.

HereKittyKitty you keep forgetting to include share issue to raise £4 million cash consideration and the deferred consideration in your no 3% dilution statement. TF May still be a good deal but SYME could on its own forecasts be paying £31 million for the business which is a non trivial amount relative to SYME market capitalisation.

Bought a few more shares now that Skin is a proven success which means that Opti value is even more underpinned by 23% stake in Skin rest of company now value d at about same as Skin stake.

You are ignoring the deferred consideration element in your calculations payable in cash or shares so you aren’t buying a £31 million business for only 3% dilution.

Still progress being made.

Cash arriving today from GF makes it more likely in my opinion that approval for takeover and more cash will come from Chinese authorities .

A lot depends on M&G attitude and whether GF want to take 100% of BCN or simply get control ie 51%.

Still not game over yet.
