Have to admit I didn't bother voting.... and I still have rather too many!!!! Bottom drawer for me. No other option atm anyway.

I guess they aren't saying that we will be suspended for the full 150, but that was what was agreed on the last RNS... 41 days ago. Would make sense to suspend until the Denarius shares can be cashed in though... anything to bring this back from the dead is welcomed, as I'm running at up to 80% loss currently...

Viridian Metals Transaction Update

Europa Metals, ("Europa" or the "Company") the European focused lead, zinc and silver developer, is pleased to provide an update on the proposed transaction with Viridian Metals Ireland Limited, ("Viridian"), and its 100 % owned Tynagh brownfield Pb/Zn/Cu/Ag project in the Republic of Ireland.

As announced on 17 September 2024, the Company entered into a conditional Term Sheet regarding the proposed acquisition of Viridian ("Proposed Transaction"). The Term Sheet is binding as to a mutual 150 day period of exclusivity, with the parties continuing to work through the conditions precedent to the Proposed Transaction as well as the Company finalising terms for the near term funding for work on the Proposed Transaction.

Results of General Meeting

Europa Metals, the European focused lead, zinc and silver developer, is pleased to announce that the resolution proposed at its General Meeting ("GM") held earlier today, as set out in the Notice of General Meeting dated 1 October 2024 (the "Notice"), was duly approved by shareholders.

Defined terms used in this announcement have the same meanings as those ascribed to them in the Notice and/or its associated Explanatory Statement unless otherwise defined herein or the context requires otherwise.

A poll was taken at the GM and in accordance with section 251AA of the Corporations Act 2001, the following information is provided in respect of the resolution considered and voted upon at the GM.

Details of proxy and poll votes in respect of the resolution set out in the Notice are as follows.

Resolution 1: Proposed Disposal of 100% interest in Europa Metals Iberia S.L. (EMI) to Denarius Metals Corp.

Notice of General Meeting

Europa Metals Ltd, ("Europa" or the "Company") the European focused lead, zinc and silver developer, announces that it will hold a General Meeting ("GM") of its Shareholders at 10.00 a.m. (UK time) on Friday, 25 October 2024.

Further to the Company's announcement of 17 September 2024, the resolution to be considered at the GM seeks Shareholder approval for the sale of a 100% interest in the Company's wholly-owned subsidiary, EMI, to Denarius Metals Corp.

The Notice and the accompanying Explanatory Statement are being posted to Shareholders (where required), and the Explanatory Statement is set out in full at the end of this announcement and should be read by Shareholders in its entirety. In addition, the Notice can be viewed and downloaded from the Company's website via the following link: http://www.europametals.com/site/aim-rule-261/shareholder-communication

Defined terms used in this announcement have the same meanings as those ascribed to them in the Notice and/or Explanatory Statement unless the context requires otherwise.

In the year to 30 June 2023, EMI reported a loss of A$ 3,221,565 and had no revenue. The Proposed Transaction will result in the disposal of EMI which is currently accounted for as an investment in an associate (and therefore is not recognised on the Company's balance sheet at 30 June 2023. The investment is carried at NIL as at 30 June 2023 as the EMI accounts (adjusted for EUR group reporting) report a net liability and net loss position.

South African shareholders are advised that the record date to participate and vote at the GM is Wednesday, 23 October 2024 and the last day to trade to participate and vote at the GM is Friday, 18 October 2024. The record date to receive the Notice is Friday, 27 September 2024.
