I know dividends are important to our shareholders!! So why when you took over did you cancel the special dividend and why have are you making us wait until May 2022 for 3.5p when you have profits in the bank to pay now. Why not cancel all the free shares you are issuing to your mainly overpaid woke staff including the 250,000 you've awarded yourself while costing me 33% capital loss plus 10% dividends. If you had sold the rights to the ITV catalogue for the £4bn+ they were worth 2 years ago and paid a £1 special dividend GS and the rest the sharks would not be making £m's shorting the stock. I'm sure there are plenty of 70+ pensioners like me wondering whether they'll live to see another divi. So do something useful, cancel all the existing share options and resign. but on study the RNS more closely I see that Goldman actually only own 0.88% of ITV shares but also have 11.98% more voting rights by way of financial instruments (see below) which I missed when panicking over a lowball takeover a while back. So presumably Goldnan pay Liberty and maybe others to hold the voting rights rather than the actual shares. No idea whether that means they can mount a bid on the cheap but of course anyone can make a hostile bid. So a bit more relaxed about really low bid. However the 120p business value quoted by brokers recently too low for me and does not reflect the £4bn being quoted last year for the value of the back catalogue.

I'm still 58% down overall but despite a blip down today I feel a lot more optimistic that the trend is up. Heard the head of Britbox on Radio 4 1 o'clock news being very enthusiastic about Spitting Image and original content increasing exposure to a younger demographic that don't watch TV. The less content on ITV Hub the more drive towards Britbox but that no doubt will get people moaning - I want £5.99 a month on my benefits so maybe we can all get the option to have Britbox included in our TV licence and taken off the BBC, would certainly catch the mood of the country! The tie up with BT and EE and possibly Sky and others sounds a move forward. These deals do not produce a lot of cash up front but they must generate some revenue presumably on a per view and advertising basis. I was of the opinion that they should have sold the back catalogue to Netflix last year but hopefully I will be proved wrong.
As per Goldman Sachs they seem to have stopped shorting and maybe making money going long on the way back up. Hopefully Nov 6th results will confirm improvements.
As to the virus, the roads are no longer empty and a lot of people seem to be back at work. Intelligent comment from Ian Duncan Smith today in Parliament. Despite cases rising the death rate in hospital was 3% at the crisis point but is now 0.6% thanks to improved knowledge and treatment with 2 anti virals despite no vaccine ready.
No doubt there will be time for one more round of project fear on Brexit but I'm sure that sanity will prevail and we will be out with no deal on Dec 31st and the world will not come to an end. Interestingly EU saying we will have to strike deals with individual countries! I thought that's what we wanted! Don't order a BMW unless it's a Mini and maybe we will survive on Somerset Brie and Welsh Lamb.

Goldman Sachs share price manipulation
Dear Sir/Madam,
I am a distressed investor who would like to know what the Board and Senior Management are doing to stop Goldman Sachs destroying ITV.
GS have interest in 20% of ITV shares by way of share borrowing, CFD's, Puts and Calls. This has given them carte blanch to sell and Buyback ITV shares to the tune of £2+ million shares a day at zero risk while making £100,000 per day upwards. They do not register as major shareholders but have the power to sell the company to Liberty or any USA Funds waiting in the background to pounce. The governer of the BOE has said that shorting is not affecting the stock market so there is no need for a ban, so currently no help from them or the government who are otherwise occupied. My fear and probably that of other investors is that any bid will be under £1 and will succeed leaving retail investors, many like myself sitting on 70% loss, taking a hit of 50%. This scenario will no doubt be great news for Dame Carolyn as she will walk away with £m's or move higher up the corporate ladder.
Last year share brokers were estimating the ITV back catalogue was worth £4 to £5billion. The company is now worth only £2.9bn and about to drop out of the Ftse100. Also with the cancellation of dividends for the foreseeable future, small investors like me are thinking the management are asleep on the job or totally incompetent.
I have scoured the latest results for any mention of action but find only Human Rights, diversity etc. which will not pay my bills.
May I suggest immediate actions might be:
1. Share buybacks to stop GS taking money out.
2. Lobby government to ban shorting and foreign company takeovers until 2022
3. Maybe a government golden share in lieu of corporate taxation until the current crisis is over.
4. Suspension of staff share options until the share price is back at £2.
5. As the ITV back catalogue is clearly now a decreasing asset, sell/auction it to Netflix/Comcast/Disney etc. Pay a special £1 dividend with the proceeds and get on rebuilding the company without the constant threat from corporate raiders.
So I'm not the professional businessman but as an investor in your company I would expect action and a clear statement of intent to block any takeover by fair means or foul from Dame Carolyn.

It is bad news that the new governer of the BOE said shorting is not having any effect on the markets. Hedge Funds. Private Equity, Vulture funds, Banks etc are working in a parallel rigged market at the expense of retail investors and pension funds.
Smalltrader, I'm no expert but if you look at this RNS you can see GS only physically hold < 1% of ITV shares but have 21% through voting rights. If you scroll down you will see the CFD's, Puts and Calls that GS has written. By borrowing Liberty's shares and maybe others for a small cost they make money by selling the financial instruments in such a way that they cannot lose whatever the price of ITV is. We are not privvy to who the 3rd parties or their motives but clearly GS are able to Sell and Buy at least 2 million share a day and take a profit daily. So my assumption is that someone else is buying shares from them at a guaranteed price to mount a takeover at some point. Liberty are on record as saying ITV were overpriced when they were up around the £2 mark so Covid is a godsend to them. The problem for punters like me with a 170p average is that when someone gets 30% of ITV they are forced to make a bid a bid for the rest but by Stock Exchange rules are not allowed pay more than the highest price they have paid on entry. So if Liberty have quietly sold all their shares to someone else and they or someone else has a high of a £1 and 30% of ITV it's pot luck what happens as anyone in profit will sell and if the bidder gets 85% take up (not sure of exact %) then they own the company and can do what they want.
A few years ago I got screwed on Thus plc when got 180p back for my 280p average. Didn't expect it too happen again with a dividend paying FTSE100 outfit.
If anyone else has a better idea with a happy ending I'd be pleased to hear. Maybe a Netflix bid?

What does this mean for ITV?
Billed as a merger but Liberty using debt despite getting £Bn's from Vodaphone last year. ITV should pull all channels from Virgin unless they pay through the nose for all content including terrestrial. No one is going to pay for ITV content when they get it free from Virgin, Sky and BT and they keep the profits for producing nothing.

Just reworked my average at 174.4p only 58% down now! Have not sold any for 3 years and had resolved not to sell at a loss. Was swept away in the euphoria of the Boris bounce in December and was so lucking forward to the divi I took my eye of the ball. Any sane trader would at least have sold half above 160p but got lazy. I've lived through a few financial crashes. Don't remember the tulips but 87 was the first time I had money to invest, 92 got caught with 18% mortgage but switched to foreign currency, did not own tech in 2000 but lost my shirt on THUS plc in 2004. Did well until Brexit vote and was looking forward to happy days before the virus. But hey if I survive I may have one more chance!
I've learned to be optimistic in life after you get a kick in the teeth so have been trying to think of any good outcomes for ITV.
If Goldman Suchs want to clean up and and do own 20% then a cheap takeover would not necessarily be their best outcome assuming they have £600k now the higher the takeout price the better assuming they don't already have a deal with Liberty at a fixed price. Am I right that in 2019 analysts were quoting £5bn for the value of ITV back catalogue and maybe this is the price. It's a depreciating asset but the company is only worth £3bn so it's attractive to Netflix, Disney, Comcast etc. Question for the board should be how long will it take Britbox to make £5bn? 10 or 20 years? So are they talking to Netflix and the rest to get the cash in now before we are sink. Vodaphone paid a massive special dividend a few years back when they sold their USA business. So let's hope this is a possibility at least, a nice £1 special divi and company still worth a £1 with terrestrial TV and production units!
