Update re. termination of facilities with Nykredit Bank A/S

Further to the Company's announcement of 10 January 2025, Woodbois is engaged in constructive discussions with Nykredit Bank A/S ("Nykredit" or the "Bank") with a view to reaching an agreement to settle the outstanding sums owed to the Bank. As a result, repayment of the loan facilities provided by Nykredit to the Company's subsidiary, Woodbois International ApS, has been postponed.

The directors will continue to work with Nykredit to secure a satisfactory solution for both parties but there can be no guarantee that an agreement will be reached and Nykredit has reserved its position.

A further announcement will be made in due course.

When is it time to sort funding?

In the 27 Nov 2024 RNS they wrote:

"The Company will mobilise equipment to acidise the limestone reservoir with HCl to clear mud blockages and stimulate flow. Stimulated flow testing and appraisal will commence as soon as equipment and crew are available."

Since then, nothing. There is obviously a problem with the well. Just silly that the company don’t give a sincere update.

The company need to be fair to shareholder if the Clink well is no longer possible to use for further testing. This is getting silly.

No way they find $3m in a week.

In the interim report WBI thought that they could extend or find an agreement with Nykredit. The company has obviously no clue what they are talking about given Nykredit cancelling the facility and wants to be repaid in 7 days.

From the interim report:

"While this is a scheduled repayment, we remain confident that an agreement with Nykredit will be finalized, allowing us to reimburse the loan through incoming revenues. Discussions are ongoing, and we expect to secure terms that align with the Company's financial strategy."

Termination of Facilities with Nykredit Bank A/S

The Company has received a letter from Nykredit Bank A/S ("Nykredit" or the "Bank") which terminates loan facilities to the Company's subsidiary, Woodbois International ApS, for repayment in full. Woodbois Limited is the guarantor of this loan and in an accompanying letter to the Company the guarantee is called. The amounts outstanding are approximately DKK 6.8m (USD 0.61m) and EUR 2.05m (USD 2.11m), and the repayment deadline is 17 January 2025.

The letter from Nykredit explains that the reason for termination is that, over the past year, discussions and dialogue for the purpose of reaching an amicable agreement to settle the Company's debt to Nykredit has regrettably failed to reach such an agreement.

The letter invites the Company to discuss a settlement agreement with the Bank.

The Directors believe that a settlement agreement is in both parties' interest, and together with advisers, will seek to achieve this as soon as possible. A further announcement will be made in due course.

They are not fully funded for the trail. In the failed October placing they wanted to raise £3m and that would take them to March 2025. The trail is costing millions.

This raise is enough to pay overdue payables.
