RE: Blue Orca Capital @blueorcainvest We are short Piedmont Lithium $PLL8 Mar 2023 15:41
I don't think this is as clear-cut as Blue Orca are making out.
Essentially, ALL (when it was IRR) acquired Joy Transporters, owned by the son of General Mosquito who at the time was in government and had influence over the granting of mining licenses. Joy Transporters owned the prospecting licenses to Cape Coast and Saltpond which are adjacent to Ewoyaa. As part of this deal, which was around £500k cash, they were also granted 2.5% NSR on any of the projects that IRR/ALL went on to develop - though I take this to mean the projects within Saltpond or Cape Coast, rather than where Ewoyaa is situated. This is what Blue Orca are claiming as evidence of corruption, as it essentially would give the son of General Mosquito and the General himself in granting the licenses to mine, as and when the time came, as they would personally benefit (to the tune of approx $40m US).
Where I am confused is whether Ewoyaa is part of this agreement, as if you read the below RNS, Vince clearly states that: ""We are delighted to have completed this significant acquisition, providing IronRidge full ownership of the highly prospective Saltpond license and Cape Coast application in Ghana. This extensive tenure package is adjacent to the company's flagship Ewoyaa Lithium Project". To me this implies that Ewoyaa is separate to the licenses and prospective mining licenses acquired at Saltpond and Cape Coast as part of the acquisition of Joy Transporters, and therefore would not be covered by the 2.5% NSR agreement that is causing the allegations of corruption.
I may be wrong on this point though. Company needs to clarify ASAP.
