Volcanic has no chance of raising $5 million without a sponsoring broker or underwriter. This is a pipe dream. As to your comments about the SMA BoD it's impossible to apply a tangible value to their collective talents-whatever they may be. The chances of value accretion for this stock are infinitesimal given it's current state. Giles subscribed for £100k of shares-a minute sum for him. If there was any real upside here he would by now have added considerably to his holdings. The truth is that SMA is an embarrassment for Shore and everyone associated with it. The day is fast approaching when it will booted off the AIM.
Please advise the positives about SMA. It's a left over piece of pond scum sitting on the surface of the AIM lake waiting for a useful fool to take it on for another dance around the houses. A mixed metaphor but a particularly apt one.

I should also add that the transaction costs will not be less than £300,000-400,000 eliminating the existing cash pot. SMA is not an attractive shell primarily because there isn't enough cash available.
You may also be a good bloke but you haven't understood what I was saying. Any RTO candidate (and their advisers) negotiating with SMA will want to bag it as cheaply as possible. That means they want the SMA BoD to issue new shares to them at the lowest price they can negotiate. Subsequently and clearly they will want to see the shares of the combined entity rise vertically. For the sake of clarity let's assume SMA is valued at £1 million with the new shares issued at 0.1p and the RTO is valued at say £9 million, the existing holders of SMA will hold 10% of the enlarged business post-RTO. This assumes that SMA has cash of £350,000, shares in Volcanic of doubtful value but let's close our eyes and say £500,000 and the quote £150,000. In reality this is very generous. A good negotiator would challenge the Volcanic valuation. (By the way they won't raise $5 million).
The trade in SMA amounts to a very small rounding error. There is no significance in the re4cent trading pattern. The reason for the downward trend is that the MM's don't want to be caught unawares if a deal is announced (as is likely) well under the current market price. Any RTO (if it's led by someone with half a brain) will not be willing to do a deal at anything over NAV plus a tiny premium.

The placement has not been completed and talks about "up to CAD$5 million". Nothing is certain. As my wise old granny used to say "tell me what you've done, not what you intend to do". There is no mention anywhere in the announcement that the financing has been completed. This is just "flying a kite". The reality is that stock exchange approval is simple and quick to obtain. The reason for the wording of the announcement is a cheap attempt to raise interest in this worthless pile of dog poo!

Quite interesting that an asset that was written off by SMA is now valued at CAD$18m. Suffice to say they're never going to raise $5m with or without a broker.
