The conversion rate is 10p for ordinary shares of 0.001p. Even if they converted £0.5m of the loan into shares, thats still a big dilution of £5m shares. Dont know how many shares are left in the float but most of them are held already.
Have to agree with Valueseeker that shareholder will be wiped out.
Must be one of the worse IPO`s I have ever known for a Company with such brilliant products.
The conversion rate for nominal 0.001 is for the second £2m loan only if SND are unable to pay the 15% interest rate is how I understand this. Any further loan after this will require ROX to buy shares at 10p and will not be at 15% but at whatever the shares are worth at the time. ROX do not have to make an offer if they accumulate more than 29.9 % of the share issues due to waiver clause.
Further to this , an additional fundraise is required to raise several million. A separate Company will also be set up for the current Management to run.
This totally stinks if I understand this fully. Massive dilution below current S.P. The Management jobs are secure even if SND goes under and they expect holders to fund this.
Think I will give this a miss even though I want the Company to reach its potential. Need Musk to step in and take over.
Not a good sign and fund raise looks likely. Very small holding here just for interest. Just see how holders of SND have been wiped out. Lucky to have made £k`s in this but could have also lost a lot of cash. Both Companies have great products, but are vulnerable to progress without any liquid cash flows. This is an high risk Company to invest in so be careful how much You want to risk.
Good post, wonder how many took your advice ? Will need a bit more money than the previous loans so can see further downside coming. Will wait for 4-5 p range before i buy back in. Cash reserve is everything regardless of what great product You have. Vulnerable to a cheap takeover now.
Can easily drop if the market dosn`t like the results even though they may be in-line with expectations. Set aside some cash to buy more if drop is back into 90`s. Price is in limbo at moment waiting for results so no results leaks as yet ?. A rise or fall near end of trading Today may give some indication...
Didn`t realise the case was from years ago. What cause did the death certificate state ? I dont believe it woud say NEC due to feeding of toxic babymilk. Unfortunate that the baby died, but this is nature and not all survive. Cant see hospitals stopping feeding premature babies with this formula as it save a lot of early babies lives. I would be questioning the Judge`s ability more than anything as this case is one sided. See what the appeal comes up with as it is a worldwide issue for baby milk manufacturers.

Ahhh, CBG. Made a few bob on that one and believe that this one will also recover. Expecting a challenge to the claims here as You rightly state that interest rates are set at a standard 30% for those who cant get normal credit. This is agreed on by the customer before the application is approved. The high rate is due to the high risks of non-payment and is a standard rate for this type of loan. No rate manipulation has been done here so no claims are valid. Good price to get in though if You dont mind some further volatility over the next few weeks.
Share-be-alright: Looking at the last 3 years price movement, the price movement cycles have hit the support level of £45 several times so can expect this range again if the trend continues. I am also buying long term and currently buying blocks of £5k at every £1+ drop. The generous dividend over a few years will make this a good long term investment. Dont make this mistake of piling in all available cash as the bottom is very difficult to judge and it can also rise very quickly. Good luck on investment.
Thanks for replies but my question was would You still get the divi if You sold Today which has been answered as You will get the divi. It just confused Me that the Company states it will only be paid for thoses who are on the register at close of play on the 8th March. If You sold Today, then You wouldn`t be on the register on this date. I will assume that the previous replies are correct but intend to hold for a while. Cheers.
You are more informed than Me on this Co but everything has a price. Unilever or Proctor could add this as a bolt on straight away given their established brands. Probably just a wish regarding takeover, but the Company needs to sort out its markets hence the current S.P. It does look vulnerable though.
